What is our site?

We provide an online platform that provides individual userswho are seeking employment opportunities ("Jobseeker(s)") with a jobsearch product and also connects Jobseekers with Employers (as defined inclause 3 below).

When the product is used as intended, interactions on theWebsite or App occur between Jobseekers and Employers. You acknowledge that Tangentis not directly involved in or otherwise an agent or party to any transactionthat may take place between a Jobseeker and an Employer.

Acceptance of Terms & Conditions

By you visiting this Website or our App as a user who isseeking employment opportunities ("Jobseeker" "you" or"your") from a company that is interested in hiring Jobseekers("Employer"), and whether or not you become a registered user of theWebsite or App or not, you accept these Terms and you agree to comply with theTerms. If you do not agree with these Terms, then you must immediately stopusing the Website and App.

We reserve the right to change the Terms by posting the newversion to this page and, where appropriate by notifying you of such change viaemail. Every time you wish to use our Website or App, please check these termsto ensure you understand the terms that apply at that time. You can review thecurrent version of the Terms which apply to your use of the Website and App atany time on this page.

Accessing Tangent

In consideration of you agreeing to abide by the Terms, wehereby grant to you a non-exclusive, non-transferable, licence to use theWebsite and App. We may update and change our Website or App from time to timeto reflect changes to our products, our users' needs and our businesspriorities. We do not guarantee that our Website, App, or any content on them,will always be available uninterrupted or error free and we reserve the rightto withdraw, suspend or amend the services or functionality that we provide onthe Website and App without notice for business and operational reasons. Wewill try to give you reasonable notice of any suspension or withdrawal. We willnot be liable if for any reason the Website or App are unavailable at any timeor for any period.

Our Website and App are currently made available to Jobseekersfree of charge but this is subject to change in accordance with clause 3 above.

If you choose, or you are provided with, a password or anyother piece of information as part of our security procedures, you must treatsuch information as confidential, and you must not disclose it to any thirdparty. We have the right to disable any user identification code or password,whether chosen by you or allocated by us, at any time, if in our opinion youhave failed to comply with any of the provisions of these the Terms. If youknow or suspect that anyone other than you knows your user identification codeor password, you must promptly notify us at hello@referly.com

We do not guarantee that our Website or App will be secureor free from bugs or viruses.

You are responsible for configuring your informationtechnology, computer programmes and platform to access our Website or App. Youshould use your own virus protection software. You must not misuse the Websiteor App by knowingly introducing viruses, Trojans, worms, logic bombs or othermaterial which is malicious or technologically harmful. You must not attempt togain unauthorised access to the Website, the App, the server on which theWebsite or App are stored or any server, computer or database connected to theWebsite or App. You must not attack our Website or App via a denial-of-serviceattack or a distributed denial-of service attack. If you do so, you may becommitting a criminal offence under the Computer Misuse Act 1990. We may reportany such breach to the relevant law enforcement authorities and we willcooperate with those authorities by disclosing your identity to them. In theevent of such a breach, we reserve the right to immediately cease your right touse the Website and App.

You may link to our home page, provided you do so in a waythat is fair and legal and does not damage our reputation or take advantage ofit.

You must not establish a link in such a way as to suggestany form of association, approval or endorsement on our part where none exists.

Jobseeker Provisions

Registration: Creating an Account and a Profile

When you access the Website or App you will have theopportunity to register and create an account ("Account"). To beeligible for the Website and App you must be at least 18 years old. We reservethe right, in our sole discretion, to accept or reject your registration to useour Website and App. If your registration is accepted, you will be allowed touse our Website and App. Tangent has the right to suspend or terminate yourAccount and refuse any and all current or future use of the Website and App atany time and for any reason.

In registering for an Account on the Website or App, youagree: (1) to provide true, accurate, current, and complete information aboutyourself; and (2) to maintain and promptly update the information to keep ittrue, accurate, current and complete. You are responsible for all activitiesthat occur under your Account.

If you provide any content on the Website or App (via yourAccount, or via any of your interactions within the Website or App) that isuntrue, inaccurate, not current, or incomplete, or Tangent has reasonablegrounds to suspect that any such content is untrue, inaccurate, not current orincomplete, Tangent has the right to suspend or terminate your Account andrefuse any and all current or future use of the Website and App.

You agree not to create an Account using a false identity orinformation, or on behalf of someone other than yourself. You agree that youshall not have more than one Account. You undertake that your login may only beused by you and a login shared by multiple people is not permitted. You agreenot to create an Account or use the Website and App if you have been previouslyremoved by Tangent, or if you have been previously banned from the Website andApp.

You will be required to provide us with your name, e-mailaddress and job preferences. In order to be contacted by Employers on theWebsite or App you will be required to provide us with a link to your LinkedInprofile, and potentially other relevant professional profiles. You may berequired to provide further information about your employment history,education and other data related to your professional history. For furtherinformation as to how we collect, store and process your personal data pleaserefer to our Privacy Policy at the link above.

Once you have created an Account and filled out yourpreferences, you will be able to use the job search functionality andcommunicate with potential Employers about job opportunities.

Tangent has the right to suspend or terminate your Accountand refuse any and all current or future use of the Website and App at any timeand for any reason.

Obligations and rights of Jobseekers

As a Jobseeker, you have an opportunity to use the Websiteand App to search for jobs and to engage in conversations with Employers todiscuss job opportunities. The Website and App are currently free for Jobseekers,you simply need to sign up and create an Account.

When you register for an Account you will have the option tosubmit job applications in certain circumstances on the Website and App, or youmay be directed to follow a link to apply via a third party.

Job recommendations listed on the Website and App arecreated and provided by third party Employers over whom Tangent exercises nocontrol. You acknowledge and understand that Tangent has no control over thecontent of job recommendations listing on the Website and App, links to or fromsuch job recommendations, or any conditions which a third parties might imposeon you as a Jobseeker if you have submitted an application via a third partywebsite.

We cannot confirm the accuracy or completeness of any jobrecommendation or other information collected by Tangent, submitted by anyEmployer or other user. Tangent assumes no responsibility, and disclaims allliability for the content, accuracy, completeness, legality, reliability, oravailability of any job recommendations, Employer information, salarystatistics, blog posts, screening questions and responses, and assessmentsinformation which may be available on the Website and App.

When you view, send, store or receive information (includingCVs and messages) through or using the Website or App, Tangent may, forexample, use such information for its internal business purposes including butnot limited to data analysis, quality control, or to refine the Website, App,or any other product or service (including to provide better search results andother listings for Jobseekers and Employers), whether via automated means orotherwise.

You may receive messages, emails or email notificationscorresponding with your activity on or use of the Website and App. In allcases, such messages or notifications are provided solely as a courtesy. Tangentdisclaims all warranties with regards to the transmission or storage of suchcourtesy notices, does not guarantee their delivery or receipt, and does notguarantee the date or time at which they may be sent. General

Intellectual property and acceptable use

You may print off one copy, and may download extracts, ofany page(s) from our Website or App for your personal use.

Limitation of liability

We do not exclude or limit in any way our liability to youwhere it would be unlawful to do so. This includes liability for death orpersonal injury caused by our negligence or the negligence of our employees,agents or subcontractors and for fraud or fraudulent misrepresentation.

We are responsible to you for foreseeable loss and damagecaused by us. If we fail to comply with these Terms, we are responsible forloss or damage you suffer that is a foreseeable result of our breaking thiscontract or our failing to use reasonable care and skill, but we are notresponsible for any loss or damage that is not foreseeable. Loss or damage isforeseeable if either it is obvious that it will happen or if, at the time thecontract was made, both we and you knew it might happen.

Please note that we only provide our Website and App to Jobseekersfor domestic and private use. You agree not to use our site for any commercialor business purposes, and we have no liability to you for any loss of profit,loss of business, business interruption, or loss of business opportunity.

General

Except as expressly provided in these Terms the rights andremedies provided under these are in addition to, and not exclusive of, anyrights or remedies provided by law.

Neither party shall be in breach of the Terms nor liable fordelay in performing, or failure to perform, any of its obligations under theTerms if such delay or failure result from events, circumstances or causesbeyond its reasonable control.

All amounts due under Terms from you to us shall be paid infull without any set-off, counterclaim, deduction or withholding (other thanany deduction or withholding of tax as required by law).

You shall allow Tangent (or Tangent’s authorisedrepresentatives or agents) to have access to your Account at all times in orderto audit your use of the Website and App. You may not transfer any of yourrights under these Terms to any other person. We may transfer our rights underthese Terms where we reasonably believe your rights will not be affected.

These Terms together with the Privacy Policy contain thewhole agreement between the parties relating to its subject matter andsupersede all prior discussions, arrangements or agreements that might havetaken place in relation to the Terms.

The Contracts (Rights of Third Parties) Act 1999 shall notapply to these Terms and no third party will have any right to enforce or relyon any provision of these Terms.

If any court or competent authority finds that any provisionof these Terms (or part of any provision) is invalid, illegal or unenforceable,that provision or part-provision will, to the extent required, be deemed to bedeleted, and the validity and enforceability of the other provisions of theseTerms will not be affected.

Unless otherwise agreed, no delay, act or omission by aparty in exercising any right or remedy will be deemed a waiver of that, or anyother, right or remedy. Our Website and App are directed to people residing inthe United Kingdom, United States, Europe and Canada. We do not represent thatContent available on or through our Website or App is appropriate for use oravailable in other locations.

Please note that these Terms, their subject matter and theirformation, are governed by the law of England and Wales. You and we both agreethat the courts of England and Wales will have exclusive jurisdiction exceptthat if you are a resident of Northern Ireland you may also bring proceedingsin Northern Ireland, and if you are resident of Scotland, you may also bringproceedings in Scotland.
